Terms & Conditions | Apollo Technology

Please read these terms carefully. They set out who we are, how we work, and the legal terms on which we supply our services. If there's anything you're unsure about, call us on 01761 347198 — we'd rather explain it than have you guess.

1. About these terms

This website is operated by Apollo Technology ("we", "us", "our"), registered in England and Wales under company number [Company number], with our registered office and technical centre at 1–2 Ludlow Court, Frome Road, Radstock, BA3 3FX.

By using this website you accept these terms. If you don't accept them, please don't use the site.

If you have a contract with us. Where we've signed a support contract, service schedule or statement of work with you, that agreement takes precedence over these terms for the services it covers. These terms fill in the gaps; they don't override what we've specifically agreed.

2. Using our website

We make this site available free of charge. We don't guarantee that it will always be available or free of errors, and we may suspend, withdraw or change any part of it without notice.

The content on this site is provided for general information. It is not advice on which you should rely without speaking to us about your specific circumstances.

You agree not to:

  • Use the site in any unlawful or fraudulent way.
  • Introduce viruses, malware or any other harmful material.
  • Attempt to gain unauthorised access to the site, the server it is stored on, or any connected system.
  • Reproduce, copy or resell any part of the site without our permission.

3. Intellectual property

We own or licence all intellectual property rights in this website and its content, including the Apollo Technology name, logo, text, imagery, design and code. You may print or download extracts for your own use, but you may not modify them, use them commercially, or remove any attribution.

Third-party trade marks — such as those of Microsoft, Google, Vodafone, CityFibre, Acer and Apple — belong to their respective owners and are used to describe the products and partnerships we work with.

4. Quotes and orders

  • Quotes are valid for 30 days from the date of issue unless we say otherwise, and are based on the information you've given us.
  • A quote is an invitation to proceed, not an offer. A contract is formed only when we confirm your order in writing.
  • If we discover something on site that materially changes the work required, we'll tell you before we proceed and agree a revised price with you.
  • Obvious errors in pricing or specification may be corrected before the order is confirmed.

5. Our services

We'll perform our services with reasonable care and skill, using suitably qualified engineers, and in line with any service levels set out in your contract.

Support contracts

Response times, hours of cover, included and excluded work, and the number of covered users or devices are set out in your service schedule. Anything outside that scope is chargeable at our standard rates, agreed with you in advance.

Remote support

We use remote support software to resolve faults quickly. We will always ask permission before connecting to a device, and you can end a session at any time. You're responsible for ensuring you have the authority to grant us access to the system concerned.

Things outside our control

Some parts of a service depend on third parties — carriers, manufacturers, cloud providers and network operators. We'll chase them hard on your behalf, but we aren't liable for delays or outages caused by them, or by anything else outside our reasonable control.

6. Repair centre terms

These apply to devices brought to, or booked into, our Radstock repair centre.

  • Back up first. Please back up your data before leaving a device with us. Repairs can involve data loss, and while we take great care, we cannot accept responsibility for data on a device unless we have agreed a data-recovery service in writing.
  • Diagnosis. Some faults require investigation before we can quote. Where a diagnostic charge applies, we'll tell you before we start.
  • Approval. We won't carry out chargeable work without your approval. If you decline the quote, the diagnostic charge may still apply.
  • Turnaround. We aim to complete repairs within three working days, and offer same-day service where possible for critical jobs. Timescales are estimates and may be affected by parts availability.
  • Parts. Replaced parts become our property unless you ask for them back at the time of booking.
  • Warranty. Repairs are warranted for [90 days] against failure of the specific part replaced or work carried out. The warranty does not cover new or unrelated faults, accidental damage or liquid damage.
  • Uncollected devices. Please collect your device within 90 days of us telling you it's ready. After that, and after we have given you written notice, we may sell or recycle it to recover our costs.
  • Unlawful content. If we find material we are legally obliged to report, we will report it.

7. Hardware and software

  • Risk in goods passes to you on delivery. Ownership passes only when we've been paid in full.
  • Hardware is covered by the manufacturer's warranty. We'll help you make a claim, and we'll handle it for you where your contract includes it.
  • Software and cloud subscriptions are supplied subject to the vendor's own licence terms, which you agree to when you use them.
  • Delivery dates are estimates. We'll keep you informed if a supplier lets us down.

8. Your responsibilities

So that we can do our job properly, you agree to:

  • Give us accurate information and timely access to your sites, systems and staff.
  • Make sure your premises are safe for our engineers to work in.
  • Hold valid licences for the software on your systems.
  • Maintain your own backups where backup is not part of the service we provide.
  • Tell us promptly about faults, changes or anything that affects the service.
  • Not solicit or employ our engineers directly during the contract and for [six months] afterwards, without our written agreement.

9. Prices and payment

ItemTerms
VATAll prices exclude VAT unless stated otherwise
Contract feesInvoiced [monthly/annually] in advance
Project and ad-hoc workInvoiced on completion, or in agreed stages
Repairs and retail salesPayable on collection
Payment terms[30] days from invoice date
Late paymentStatutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998

We may suspend services where an invoice remains unpaid after we've given you notice. We'd always rather talk first.

10. Cancellation and termination

Consumers

If you are a consumer buying online or over the phone, you generally have 14 days to change your mind under the Consumer Contracts Regulations 2013. If you asked us to start work within that period, you'll need to pay for what we've already done. The right to cancel does not apply to goods made or configured to your specification.

Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015 — services must be carried out with reasonable care and skill, and goods must be as described, fit for purpose and of satisfactory quality.

Business customers

Support contracts run for the minimum term stated in your service schedule and then continue until ended by [90 days'] written notice. Either of us may end the contract immediately if the other commits a material breach that isn't put right within 30 days of being told about it.

Exit

On termination we'll return your data and hand over credentials, documentation and administrative access, and we'll cooperate reasonably with your new provider. Any outstanding invoices must be settled first.

11. Our liability

We don't exclude or limit our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, and where you are a business customer:

  • We are not liable for loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss.
  • We are not liable for loss or corruption of data where you have not maintained the backups required under your contract, or where backup is not part of the service we provide.
  • Our total liability in any 12-month period is limited to the total fees you paid us in that period.

Please make sure you have appropriate insurance for the risks that are yours to carry.

12. General

  • Changes. We may update these terms. The version on the site when you place an order is the version that applies to it.
  • Confidentiality. Each of us will keep the other's confidential information confidential.
  • Data protection. We handle personal data as described in our Privacy & Cookie Policy. Where we process data on your behalf, a data processing agreement applies.
  • Assignment. You may not transfer your rights under these terms without our written agreement.
  • Third parties. No one other than you and us has any right to enforce these terms.
  • Severability. If any provision is found to be unenforceable, the rest remains in force.
  • Governing law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Complaints

If something has gone wrong, tell us. Email info@apollotechnology.co.uk or call 01761 347198 and ask for your account manager. We'll acknowledge your complaint within [two working days] and aim to resolve it within [ten].
